Affiliate Program Terms and Conditions

1. Agreement to Terms

By applying to or participating in the User Vibes OS Affiliate Program ("Program"), you ("Affiliate," "you," or "your") agree to be bound by these Affiliate Program Terms and Conditions ("Agreement"). If you do not agree to all terms, do not participate in the Program. User Vibes OS ("Company," "we," "us," or "our") reserves the right to accept or reject any application at our sole discretion.

2. Program Overview

The Program allows approved affiliates to earn commissions by referring new customers to User Vibes OS. Commissions are earned when referred visitors complete qualifying actions as defined by the Program. Commission rates, qualifying actions, and payment terms are subject to change at our discretion with reasonable notice.

3. Commission Structure

• Commission rates are determined by the Company and communicated through the affiliate dashboard.
• Commissions are earned only on qualifying sales from new customers referred through valid affiliate links.
• Self-referrals are strictly prohibited and will result in commission forfeiture and potential termination.
• Fraudulent, duplicate, or refunded transactions do not qualify for commissions.
• We reserve the right to reverse commissions on refunded, disputed, or fraudulent transactions.
• Minimum payout thresholds may apply before commissions are disbursed.

4. Payment Terms

• Payments are processed according to the schedule published in the affiliate dashboard.
• You are responsible for providing accurate payment information and maintaining its accuracy.
• You are solely responsible for all taxes associated with affiliate commissions.
• We may require tax documentation (e.g., W-9, W-8BEN) before processing payments.
• Unpaid commissions may be forfeited if your account is terminated for cause.

5. Prohibited Conduct

Affiliates are strictly prohibited from the following activities:

• Spam: Sending unsolicited emails, messages, or communications of any kind.
• False advertising: Making false, misleading, or unsubstantiated claims about User Vibes OS or its services.
• Trademark infringement: Using User Vibes OS trademarks, logos, or brand assets without express written permission or in violation of brand guidelines.
• Paid search on branded terms: Bidding on User Vibes OS brand terms, variations, or misspellings in paid search advertising.
• Cookie stuffing: Forcing affiliate cookies without user knowledge or consent.
• Incentivized clicks: Offering rewards, points, or incentives for clicking affiliate links unless explicitly approved.
• Misleading redirects: Using deceptive redirects, pop-ups, or techniques that obscure the affiliate relationship.
• Adult, illegal, or objectionable content: Promoting User Vibes OS on websites containing adult content, illegal material, hate speech, or content that could harm our reputation.
• Coupon/deal sites: Publishing unauthorized discount codes or claiming exclusive deals not provided by us.
• Impersonation: Representing yourself as an employee, agent, or official representative of User Vibes OS.

6. Disclosure Requirements

You must clearly and conspicuously disclose your affiliate relationship with User Vibes OS in compliance with the Federal Trade Commission (FTC) Endorsement Guides and any other applicable laws or regulations. Disclosures must be clear, prominent, and in close proximity to affiliate links. Failure to properly disclose may result in immediate termination.

7. Intellectual Property

User Vibes OS retains all rights to its trademarks, logos, content, and other intellectual property. You are granted a limited, non-exclusive, revocable license to use approved marketing materials solely for Program participation. This license terminates immediately upon your exit from the Program. You may not modify, adapt, or create derivative works from our intellectual property without written consent.

8. Term and Termination

• This Agreement is effective upon your acceptance into the Program and continues until terminated.
• Either party may terminate this Agreement at any time, for any reason, with or without cause.
• We may immediately terminate your participation for violation of these terms.
• Upon termination, you must immediately cease using all User Vibes OS intellectual property and remove all affiliate links.
• Earned commissions meeting payout thresholds will be paid according to standard schedule, unless termination was for cause.
• Commissions may be forfeited if termination results from fraud, abuse, or material breach.

9. Disclaimer of Warranties

THE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ANY LEVEL OF EARNINGS, SALES, OR CONVERSIONS. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, USER VIBES OS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE PROGRAM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless User Vibes OS, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your breach of this Agreement; (b) your marketing activities; (c) your violation of any law or third-party rights; or (d) any content you create related to User Vibes OS.

12. Independent Contractor

You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between you and User Vibes OS. You have no authority to bind User Vibes OS or make commitments on our behalf. You are solely responsible for your own taxes, insurance, and compliance with applicable laws.

13. Modifications

We reserve the right to modify these terms, commission rates, or any aspect of the Program at any time. Material changes will be communicated via email or the affiliate dashboard. Continued participation after changes constitutes acceptance of the modified terms. If you do not agree to modifications, your sole remedy is to terminate your participation.

14. Governing Law and Disputes

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits or class-wide arbitration.

15. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

This Agreement constitutes the entire agreement between you and User Vibes OS regarding the Program and supersedes all prior agreements, representations, and understandings. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
